To the maximum extent permitted by applicable law, our total direct liability for any claim arising out of or relating to the Site or these Terms is limited to the lower of: (a) the amount you paid to Northern Signal Systems for use of the Site in the 12 months preceding the event giving rise to the claim, or (b) 100 EUR.
Some jurisdictions do not allow certain limitations of liability. Where such limitations are not permitted, our liability will be limited to the greatest extent permitted by law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Northern Signal Systems, its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right.

Our Privacy Policy explains how we collect, use, and share information, including through cookies and advertising technologies. The Privacy Policy is incorporated into these Terms by reference. By using the Site, you acknowledge that you have reviewed the Privacy Policy.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
12. Dispute Resolution
Informal resolution: Before commencing any legal proceeding, you agree to contact us and provide a brief written description of the issue and your requested resolution. We will attempt to resolve the matter informally within 30 days of receiving your notice.
If we cannot resolve the dispute within 30 days, either party may pursue a claim in accordance with the Governing Law and Jurisdiction section above.
13. Termination
We may suspend or terminate access to the Site, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, created risk for the Site, or used the Site in a way that could result in legal exposure or harm to others.
The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any provisions that by their nature should survive.
14. Modifications to These Terms
We may update these Terms from time to time. Changes become effective 14 days after they are posted on this page. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.
